Terms & Conditions

By engaging MH Consulting (mohoeft.com), you agree to the following terms. A full version of this agreement is available upon request or included in your project contract.
Services
MH Consulting provides business management and marketing consulting services on a project or contract basis. Scope, deliverables, and fees are defined in a signed Statement of Work (SOW) for each engagement.
Payment Terms
A 50% non-refundable deposit is required before work begins. The remaining balance is due upon delivery of final deliverables. Invoices are due within 15 days. Late payments are subject to a 1.5% monthly fee (18% annually) beginning on day 16. Accounts overdue by 60+ days may be referred to collections.
Pause Clause
Projects may be paused with 5 business days’ written notice. Work completed to date will be invoiced immediately. A 10% restart fee on the remaining balance applies upon resumption. Projects paused for more than 30 days without a written extension may be terminated subject to the kill fee schedule below.
Kill Fee
If a project is cancelled after work has begun, the following fees apply based on project completion:
All kill fees are due within 15 days of written cancellation notice.
Termination for Cause
MH Consulting reserves the right to terminate any engagement immediately - without prior notice - in the event of Client misconduct, including but not limited to: abusive or threatening behavior, requests for illegal or unethical activity, non-payment, or breach of confidentiality. All fees earned to the date of termination remain due per the kill fee schedule. MH Consulting reserves the right to decline future engagements from terminated Clients.
Intellectual Property
All final deliverables are transferred to the Client upon receipt of full payment. MH Consulting retains ownership of all underlying methodologies, frameworks, templates, and tools. Client materials remain the property of the Client and are used solely to complete the engagement
Confidentiality & NDA
All client information is treated as strictly confidential. Confidentiality obligations remain in effect for 3 years following the conclusion of any engagement. MH Consulting is available to execute a custom mutual or one-way NDA on a contract-by-contract basis upon request. Contact us at info@mohoeft.com to initiate.
Limitation of Liability
MH Consulting’s total liability for any claim shall not exceed the total fees paid for the engagement in question. We are not liable for indirect, incidental, or consequential damages. We do not guarantee specific business outcomes or results.
Independent Contractor
MH Consulting operates as an independent contractor. No employment, partnership, or agency relationship is created by these Terms.
Governing Law
These Terms are governed by the laws of the State of Florida. Disputes shall be resolved in Manatee County, Florida.
